LLC Formation Service Agreement (Plain Language)

​

Provider: JP Executive Hub (“Provider”), a trade name of Jacob’s Pillar Enterprise LLC, 5144 E. Sam Houston Parkway N., Suite 134, Houston, TX 77015.

 

Client: The individual or entity purchasing LLC formation services.

 

Service: Provider agrees to prepare and electronically file a Texas Certificate of Formation (Form 205) for a Domestic Limited Liability Company with the Texas Secretary of State based solely on the information provided by Client.

Provider acts as a document preparation and filing service only.

 

What’s Included

• Preparation of Texas Form 205

• Electronic submission through SOSDirect

• Payment processing of state filing fees (if included in Client purchase)

• Delivery of the filed Certificate of Formation once approved by the Texas Secretary of State

 

What’s Not Included: Unless separately purchased, the following services are not included:

• Legal advice

• Tax advice

• Operating Agreement drafting

• EIN registration

• Franchise tax filings

• Business licenses or permits

• Ongoing compliance monitoring

Provider is not a law firm or CPA firm.

 

Client Responsibilities

Client agrees to:

• Provide accurate and complete information

• Confirm correct spelling of names and addresses

• Select management structure and Registered Agent

• Review all submitted details prior to filing

• Pay all required service and state filing fees

• Respond promptly to communication requests

Provider is not responsible for delays, rejection, or penalties resulting from inaccurate or incomplete information supplied by Client.

 

Name Availability & Filing Approval: Approval of the LLC formation is determined solely by the Texas Secretary of State. Provider does not guarantee name availability or state approval.

If a filing is rejected due to Client-provided information, additional service fees may apply for resubmission.

 

Payment & Refund Policy: All service fees must be paid prior to filing unless otherwise agreed in writing. State filing fees are non-refundable once submitted to the Texas Secretary of State. Service fees are non-refundable once documents have been prepared or filed.

 

Limitation of Liability: Provider’s total liability is limited to the amount paid for LLC formation services.

Provider is not responsible for:

• Business losses

• Tax consequences

• Banking or credit denials

• Compliance failures

• Future disputes among members

Client acknowledges that Provider is acting solely as a filing service.

 

No Legal or Tax Advice: Provider does not provide legal, tax, or financial advice. Client is encouraged to consult with a licensed attorney or CPA regarding business structure, tax elections, or liability matters.

 

Communication: Client authorizes Provider to communicate electronically regarding filing updates and document delivery.

 

Acceptance: Submission of payment and/or completion of the LLC Formation Intake Form constitutes acceptance of these terms.
