Registered Agent Service Agreement (Plain Language)

Provider: JP Executive Hub (“Provider”), 5441 E. Sam Houston Parkway N., Suite 134, Houston, TX 77015.

​

Client: The purchasing entity.

​

Service: Provider acts as Texas Registered Agent and receives Service of Process and official state mail during business hours.

​

What’s included: Notification by email within 1 business day of receipt; PDF scan of SOP and state notices; optional physical forwarding at Client’s cost.

​

Client duties: Keep legal name, SOS file #, forwarding address, email, and phone current; respond promptly to notices.

​

Renewal: Annual auto-renew via Stripe unless canceled before renewal date. Non-payment may terminate service and may cause the entity to fall out of compliance.

​

Limits: Provider is not legal counsel and not responsible for Client’s failure to act on notices.

​

Mailing: Junk/non-official mail may be discarded.

​

Termination: Either party may terminate with written notice; no pro-rata refunds after SOP is received in a billing year.

​

Change of Agent: If changing to Provider, Client may self-file TX Form 401 or purchase the filing add-on.

​

Acceptance: Purchase of the service = acceptance of these terms.
